These Terms of Service ("Terms") govern your access to and use of the Clutch mobile application, website, and related services (collectively, the "Services"). By using the Services, you agree to these Terms.

Acceptance

By accessing or using the Services, you agree to be bound by these Terms and any additional policies we reference. If you do not agree, do not use the Services.

Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Services. If you are under the age of majority where you live, you represent that you have your parent or guardian's permission to use the Services.

Accounts

  • Account security: You are responsible for your account and for maintaining the confidentiality of your login credentials.
  • Accurate information: Provide accurate, up-to-date information and keep your profile current.
  • Unauthorized use: Notify us immediately if you suspect unauthorized access to your account.

Your content

You retain ownership of your User Content, but you grant Clutch a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify, display, and distribute your User Content for the purpose of operating and improving the Services.

You represent that you have all rights necessary to post your User Content and that it does not violate any laws or third-party rights.

Acceptable use

When using the Services, you agree not to:

  • Harass, abuse, or harm others, or promote hate or violence.
  • Post illegal, infringing, or deceptive content.
  • Impersonate others or misrepresent your identity.
  • Attempt to access accounts or systems without authorization.
  • Interfere with the operation or security of the Services.
  • Use the Services to spam, phish, or distribute malware.

Features & changes

We may add, change, or remove features at any time. We may also suspend or stop the Services, in whole or in part, for maintenance or other operational reasons.

Payments

Some features may require payment. If you purchase a subscription or other paid features, you agree to pay the applicable fees and taxes. All payments are handled by our payment providers or app stores, and their terms apply to your purchases.

Third-party services

The Services may link to or integrate with third-party services. We do not control those services and are not responsible for their content or practices.

Termination

You may stop using the Services at any time. We may suspend or terminate your access if we believe you violated these Terms or pose a risk to the Services or other users.

Limitation of liability

To the fullest extent permitted by law, Clutch will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising from or related to your use of the Services.

Indemnification

You agree to indemnify and hold harmless Clutch and its affiliates, officers, employees, and agents from any claims, liabilities, damages, and expenses arising out of your use of the Services or violation of these Terms.

Governing law

These Terms are governed by the laws of the jurisdiction where Clutch is headquartered, without regard to conflict of law principles.

Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice as required by law. Your continued use of the Services after the effective date means you accept the updated Terms.
